Terms of Service

1. Acceptance of Terms

By accessing or using Metrifyr ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Metrifyr provides an MCP (Model Context Protocol) server that enables AI assistants and development tools to access Google Marketing APIs including Google Analytics, AdSense, and Search Console on behalf of authenticated users.

3. Account Registration

To use the Service, you must:

  • Create an account using GitHub or Google authentication
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Be at least 18 years old or have parental consent

You are responsible for all activities that occur under your account.

4. API Keys and Access

You are responsible for maintaining the confidentiality of your API keys. You agree not to share your API keys with unauthorized parties and to notify us immediately of any unauthorized use. We reserve the right to revoke API keys that are compromised or misused.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Service to violate Google's Terms of Service or API policies
  • Exceed reasonable API usage limits or engage in abusive behavior
  • Use automated systems to access the Service in a manner that exceeds reasonable use
  • Resell or redistribute access to the Service without authorization

6. Google API Compliance

Your use of data obtained through Google APIs must comply with Google's Terms of Service, API policies, and the Google API Services User Data Policy. We act as an intermediary and are not responsible for your compliance with Google's terms.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Metrifyr and is protected by international copyright, trademark, and other intellectual property laws. You retain ownership of your data and any content you provide through the Service.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime in advance.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METRIFYR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or your data
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar harmful code transmitted through the Service

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Metrifyr and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violations of these terms or for any other reason at our discretion, with or without notice. You may terminate your account at any time by deleting it from your dashboard or by contacting us.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic and applicable European Union law, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of the Czech Republic. However, this does not affect your statutory rights as a consumer under EU law to bring proceedings in the courts of your country of residence.

14. Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us at support@tomasgrasl.cz to attempt to resolve the dispute informally. We will make reasonable efforts to resolve any disputes within 30 days.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes by email or by posting a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Service after changes constitutes acceptance of the new terms.

If you do not agree to the modified terms, you may terminate your account before the changes take effect.
